These Terms of Service ("Terms") form a binding agreement between you ("you," "your," "Buyer," or "User") and Sparta Labs, LLC ("Sparta Labs," "we," "us," or "our"), the operator of the website located at spartalabs.net (the "Site"). They govern your access to and use of the Site and your purchase of any products or services offered through it. By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, do not access the Site or purchase any product.
You must be at least twenty-one (21) years of age and have the legal capacity to enter into a binding contract to use the Site or purchase any product. By using the Site, you represent and warrant that you meet these requirements. The Site is not directed to, and may not be used by, anyone under 21. We reserve the right to verify age and to refuse access or service to anyone who does not meet these requirements.
All products sold by Sparta Labs are supplied strictly for in-vitro laboratory research and development use by qualified technical personnel. The following limitations apply to every product, without exception, and define the sole intended use of everything we sell:
• Products are not drugs, dietary supplements, foods, food additives, cosmetics, medical devices, or household chemicals, and are not approved by the U.S. Food and Drug Administration ("FDA") or any other regulatory authority for any use.
• Products are not intended for human or veterinary use, ingestion, injection, inhalation, topical application, or consumption of any kind, and are not intended for clinical, diagnostic, or therapeutic use.
• Products are not intended or offered to diagnose, cure, mitigate, treat, or prevent any disease, ailment, or condition in humans or animals.
• Products are not sterilized, formulated, labeled, or tested by Sparta Labs for safety or efficacy in any human, veterinary, food, drug, cosmetic, or clinical application.
• Nothing on the Site, in any product listing, certificate of analysis, article, or communication constitutes dosing guidance, instructions for administration, clinical advice, or a recommendation for human or animal use.
The intended use of every product is limited to lawful laboratory research. We make no representation that any product is suitable or lawful for any other purpose, and any use outside the scope described above is solely at your own risk and is undertaken without our knowledge, authorization, or endorsement.
By placing an order, you represent, warrant, and covenant that:
1. You are acquiring products solely for in-vitro laboratory research purposes and not for human or animal consumption or any clinical, therapeutic, or diagnostic purpose.
2. You are a qualified researcher or are affiliated with, or acting on behalf of, a laboratory, academic, institutional, commercial, or other research entity that warrants the lawful purchase and handling of research compounds.
3. You are knowledgeable about, and will comply with, accepted laboratory safety practices and the proper handling, storage, and disposal of research chemicals, including any associated health and safety hazards.
4. You will not use, resell, relabel, repackage, distribute, or market any product, or any material derived from any product, in a manner that would cause it to be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, or that would introduce it into interstate commerce in violation of Sections 404, 505, or 512 of that Act.
5. You are solely responsible for determining and complying with all federal, state, local, and foreign laws, regulations, licensing requirements, import/export controls, and taxes applicable to your purchase, possession, and use of the products in your jurisdiction.
6. The information you provide in connection with any account or order is accurate and complete.
You acknowledge that a purchase made by anyone who does not have the affiliations or intent described above may constitute a misrepresentation for which you may be held responsible. We may, at our sole discretion, conduct due-diligence screening and require further verification of your research affiliation or intended use prior to fulfilling any order.
All articles, research summaries, references, and educational materials on the Site are provided for informational and educational purposes only and reflect publicly available scientific literature. They are not medical, clinical, or professional advice and must not be relied upon as a substitute for advice from a qualified professional. Sparta Labs does not make, and you should not infer, any therapeutic, performance, or health claim regarding any product. These statements have not been evaluated by the FDA.
We strive for accuracy in product descriptions, specifications, and pricing, but we do not warrant that all content is complete, current, or error-free. We may correct errors or inaccuracies and may change or update information, prices, and availability at any time without prior notice.
Certificates of Analysis ("COAs") describe analytical characterization for a specific catalog item and lot. A COA does not expand, alter, or supersede the research-use-only intended scope of sale described in these Terms and is not a representation that any product is fit for any human, veterinary, or clinical use.
All prices are listed in United States dollars unless otherwise stated and are subject to change without notice. Posted prices do not include taxes, duties, or shipping unless expressly stated; you are responsible for any applicable VAT, import taxes, customs charges, certifications, or licenses required in your jurisdiction.
Your submission of an order constitutes an offer to purchase. All orders are subject to acceptance by Sparta Labs, and we may decline or cancel any order in whole or in part for any lawful reason, including suspected misuse, payment irregularities, pricing errors, or inability to verify your information. Payment must be received and authorized before we accept and fulfill an order. By submitting payment information, you authorize us (or our payment processors) to charge the applicable amount and you represent that you are authorized to use the payment method provided.
Shipping terms, methods, destinations, and timeframes are described in our Shipping Policy (/legal/shipping-policy), which is incorporated by reference. Unless otherwise stated, title and risk of loss pass to you upon our delivery of the products to the carrier. We are not responsible for carrier delays, customs delays, or losses occurring after delivery to the carrier, though we will reasonably assist with tracking inquiries.
Due to the nature of research compounds and to preserve product integrity, all sales are final and we do not accept returns except as required by applicable law or as otherwise expressly stated in a separate Refund Policy (/legal/refund-policy). If a product arrives damaged or an order is materially incorrect, you must notify us within the period specified in our Shipping or Refund Policy so we can work with you on an appropriate remedy.
We reserve the right, in our sole discretion, to refuse, limit, suspend, or terminate sales or accounts; to decline to provide reconstitution, application, or usage guidance (which we do not provide); and to deny service to any individual we believe is an unqualified purchaser or who we reasonably believe intends to use a product in a manner inconsistent with these Terms. Any communication indicating an intent to misuse a product may result in cancellation of your order and retention of relevant information in an internal record used to screen future orders.
You agree not to use the Site to upload, post, or transmit any content that is unlawful, obscene, defamatory, threatening, abusive, harassing, or that infringes the rights of any third party. Except for your own personal, non-commercial review, you may not modify, reproduce, republish, distribute, transmit, mirror, scrape, or commercially exploit any content from the Site without our prior written consent. You agree not to interfere with the operation or security of the Site.
The Site and all of its content — including text, graphics, logos, trademarks, product names, images, page layout, design, "look and feel," and underlying code (collectively, "Content") — are owned by or licensed to Sparta Labs and are protected by copyright, trademark, and other intellectual property laws. "Sparta Labs" and associated marks and logos are trademarks of Sparta Labs, LLC. No license to any Content is granted except the limited right to view it for the purpose of evaluating or purchasing our products. All rights not expressly granted are reserved.
The Site may contain links to third-party websites or resources provided for convenience only. We do not control, endorse, or assume responsibility for any third-party site, its content, or its products or services. Accessing third-party sites or downloading any third-party software is at your own risk and may be governed by that third party's own terms.
THE SITE AND ALL PRODUCTS AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SPARTA LABS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE SUITABILITY, HAZARDS, AND LEGALITY OF ANY PRODUCT FOR YOUR INTENDED RESEARCH USE.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPARTA LABS, ITS PARENT, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR HANDLING, POSSESSION, OR USE OF ANY PRODUCT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. In consideration of the sale of products to you, which we would not otherwise make, you agree to indemnify, defend, and hold harmless Sparta Labs and its parent, affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your handling, possession, use, resale, or distribution of any product; (b) your breach of these Terms or any representation or warranty herein; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit to the Site.
You are solely responsible for knowing and complying with all laws, regulations, and licensing requirements applicable to you, including those of your own country, state, and locality. Purchase, possession, and use of certain compounds may be restricted or prohibited in some jurisdictions. We rely on you to purchase only what is lawful for you to acquire and use.
Our collection and use of personal information is governed by our Privacy Policy (/legal/privacy-policy), which is incorporated into these Terms by reference. By using the Site, you consent to the practices described in the Privacy Policy.
The Site is generally available at all times, but we may make it unavailable at any time, for any reason, and for any length of time, without liability. We may add, change, suspend, or discontinue any aspect of the Site or our products at any time without notice.
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. We may suspend or terminate your account or access at any time if you violate these Terms or if we reasonably suspect misuse.
You and Sparta Labs are independent parties. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Sparta Labs.
We are not liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including backorders, carrier or customs delays, lost shipments, supply disruptions, acts of God, labor disputes, or governmental action. We are not obligated to notify you of such delays, and you are responsible for making alternative arrangements if needed.
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of South Carolina, United States, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute not subject to arbitration shall be the state or federal courts located in Charleston County, South Carolina, and you consent to personal jurisdiction there. The parties will first attempt to resolve any dispute through good-faith negotiation.
Binding Arbitration; Class-Action Waiver. Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved through good-faith negotiation shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration seated in Charleston County, South Carolina. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and Sparta Labs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding, and the arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. You may opt out of this arbitration agreement by emailing tos@spartalabs.net within 30 days of first accepting these Terms.

We may amend these Terms at any time by posting the revised version on the Site with an updated "Last Updated" date. Changes are effective when posted. Your continued use of the Site or placement of an order after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Sparta Labs regarding your use of the Site and purchase of products, and supersede all prior agreements or understandings on that subject.
